利用契約
1.契約条項

本契約は、SCSK株式会社(以下「乙」という)が申込者及び利用者(以下「甲」という)に対して、CELFをクラウド上で提供するサービス(以下「本サービス」という)に関して、甲乙間に適用される合法的契約である。
甲は、本契約規定事項に合意することを前提に本サービスの使用が認められるものとする。

第1条(定義)
本契約において使用される用語の定義は以下の通りとする。
1. 「派生物」とは、本サービスの一部もしくは全部に基づき、または本サービスの一部もしくは全部を組み込んだ著作物又はサービスをいい、機械的または電子的な複製物、翻訳物、改造物、変更物、媒体の変更その他形式を含む。
2. 「資料」とは、本サービスに係る研修、トレーニング・コース、コンサルティング、その他のサービスに関連して乙が甲に提供したすべてのマニュアル、参考資料、コース資料、説明用ソフトウェア、研修資料およびその他の資料をいう。
3. 「サービス利用料金」とは、本サービスの使用料(月額または年額)から構成され、契約要項記載の、または甲乙間の書面合意により定める料金をいう。
4. 「月額利用」とは、サービス利用料金を毎月精算する形式で「CELFクラウドサービス利用契約書(月額)」にて甲乙間で契約を締結した場合をいう。
5. 「年額利用」とは、サービス利用料金を年に一回精算する形式で「CELFクラウドサービス利用契約書(年額)」にて甲乙間で契約を締結した場合をいう。

第2条(本サービスの内容等)
1. 本サービスの詳細は、乙が別途甲に提示する「CELFクラウドサービス仕様書」(以下、「サービス仕様書」という)および「CELFクラウドサービス Service Level Agreement」に定めるものとする。なお、乙は甲に対して30日前に乙の製品Webサイトにて通知することにより、本サービスの内容を変更することができるものとする。
2. サービス仕様書に本契約の条項と異なる定めがある場合、当該サービス仕様書の定めが優先するものとする。
3. 甲は、契約要綱に記載される本サービスの利用者数を変更する場合、当該変更希望日の30日前までに乙所定の用紙に必要事項を記入して乙に提出するものとする。
4. 乙は、利用者数の増減または本条第1項に基づく本サービス内容の変更により、契約要綱に記載されるサービス利用料金を変更する場合、甲にその旨を書面通知することによりサービス利用料金を変更することができるものとする。

第3条(本サービスの利用)
1. 本サービス開始日は、契約要綱記載のとおりとする。なお、月額利用の場合で本サービス開始日が月の途中から開始した場合にも、甲は乙に1ヶ月分のサービス利用料金を支払うものとする。また、年額利用の場合で本サービス開始日が月の途中から開始した場合であっても、1年間分のサービス利用料金を支払うものとする。
2. 契約利用者数までは一律の基本単価とし、利用者数が超過した場合は追加料金が発生するものとする。
3. 甲は、本契約に定める条件に基づいて、甲自らの使途のために本サービスを利用することができるものとする。
4. 本契約は、本サービスに関する技術サポート、電話サポートまたはパッチ、バージョンアップ版、変更版もしくは改良版を提供する義務を乙に付与するものではないものとする。ただし、甲は第13条に定める条件により、サポートサービスを受けることができるものとする。
5. 乙は、本サービス開始日前に甲にユーザID及びパスワードを第8条に定める甲の担当責任者に送付するものとする。
6. 甲は、本サービスの利用に当たり、次の各号に該当する取扱いをしてはならないとともに、ユーザに遵守させるものとする。
(ア) サービス仕様書記載事項以外の使用を行うこと
(イ) 本サービスの運営を妨害すること
(ウ) 本サービスを法令もしくは公序良俗に反し、または反するおそれのある目的または方法で利用すること
(エ) 乙もしくは第三者の著作権その他の知的財産権を侵害し、または侵害するおそれのある目的または方法で利用すること
(オ) 乙もしくは第三者の財産、プライバシーを侵害し、または侵害するおそれのある目的または方法で利用すること
(カ) 乙もしくは第三者を差別もしくは中傷し、もしくはその名誉もしくは信用を毀損し、または毀損等のおそれのある目的または方法で利用すること
(キ) 乙もしくは第三者の電気通信回線およびこれに付帯する設備に障害もしくは支障を与え、または与えるおそれのある目的または方法で利用すること
(ク) 本サービスを第三者に利用させること(甲が本サービスを利用して、第三者に他のサービスを提供する行為を含む)
(ケ) 乙が本サービス提供の際に利用する領域に故意にアクセスすること、または当該領域に保管されたデータを破損、使用不能、ならびにこれらに類似する行為をすること
(コ) コンピュータウィルス等の他人の業務を妨害し若しくはそのおそれのあるコンピュータプログラムを本サービスを利用して使用すること
7. 本サービスの利用に当たり、甲が前項各号のいずれかに該当する取扱いをしていると乙が判断した場合、乙は、甲に何ら通知することなく、本サービスの停止または甲データの削除その他必要な措置を講ずることができるものとする。


第4条(保証と責任)
1. 乙は、アクセス回線を利用して甲乙間で送受信されたデータの完全性、正確性、有用性等に関し、検証の義務を負わないとともに、何らの保証の責めを負わないものとする。
2. 如何なる事由に起因する場合であっても、乙の損害賠償責任は、甲が被った通常の直接損害に限定されることとし、乙は、間接損害、特別損害、逸失したデータおよび逸失利益に関する損害については、かかる損害の可能性につき知らされていた場合であっても責任を負わないものとする。乙の本契約に基づく損害賠償責任は、いかなる場合においても、月額利用の場合は、当該損害の発生した月のサービス利用料金、年額利用の場合は、当該損害の発生した年度のサービス利用料金を超えないものとし、具体的な金額については双方協議の上決定するものとする。
3. 甲は、当該損害賠償請求をし得ることとなった日から90日を経過する日までに、乙に対し当該賠償請求をしなかったときは、その権利を失うものとする。
4. 本サービスの提供に関し、乙が負う契約上または法律上の責任は本契約に定める範囲に限られるものとする。

第5条(甲データ等)
1. 甲は、本サービスの利用において甲が自ら作成・利用するデータ(以下「甲データ」という)について、バックアップをとるものとする。なお、甲データが破損、使用不能または漏洩した場合、その事由の如何を問わず、乙は甲に対し一切の責任を負わないものとする。
2. 乙は、通信回線を介した伝送中に生じた送信エラー、甲データの変化および甲データの保全について、責任を負わないものとする。

第6条(免責)
乙は、次の各号のいずれかの事由に起因する、本サービス提供の遅延または停止、甲データの消失または破損およびそれらにより甲が被った損害について、いかなる責任(データ等の復元・復旧作業を含む)をも負わないものとする。
(ア) 天災地変その他の不可抗力(火災、労働争議、騒乱、伝染病、法令の変更、政府・関係省庁または地方公共団体による規制・指示その他指導、輸送機関、通信、電力の供給の障害、電気通信事業者の提供する電気通信役務、その他乙の責めに帰さざる事由に基づく事象)
(イ) 第14条(本サービスの停止)
(ウ) 第17条(本サービスの廃止)
(エ) 甲が乙の設置場所もしくはネットワーク経由で行った作業が原因となって生じた本サービスの利用上の障害、その他の問題
(オ) 通信回線の障害、甲のシステム自体の不具合・障害、甲の端末の誤操作・障害等に基づく本サービスの不履行、本サービス設備等を構成するハードウェア、ソフトウェア、テンプレート、ライブラリ等に関するバグ、不具合、瑕疵による障害
(カ) 善良なる管理者の注意をもってしても防御しえない本サービス設備等への第三者による不正アクセスまたはアタックまたは通信経路上の傍受またはコンピュータウィルスによる損害
(キ) 乙の責めに帰すべき事由によらない甲データの全部または一部の消失・破損
(ク) 本サービスの利用に関して、甲および第三者との間において生じた如何なる紛争

第7条(サービス利用料および支払方法)
1. 甲は、本サービス利用の対価として、乙に対し、契約要綱記載のサービス利用料金を支払うものとする。
2. サービス利用料金の支払条件および支払方法は、契約要綱記載のとおりとする。
3. 前項の支払分の消費税および地方消費税は外税とし、甲はサービス利用料金に消費税等相当額を加算して支払うものとする。
4. 税法令の改正等により税率が変更された場合、サービス利用料金にかかる消費税は、変更後の税率を適用するものとする。
5. 甲によるサービス利用料金等の支払が約定の期日までになかった場合、甲は、乙に対して支払遅延日数に応じて年利14.6パーセントの割合で延滞金を支払うものとする。
6. 甲が本サービスを中途解約する場合、如何なる事由であっても、甲はすでに乙に支払ったサービス利用料金その他一切の料金について、返還を求めることはできないものとする。なお、月額利用の場合の解約月のサービス利用料金は、日割計算を行わないものとし、甲は乙に1か月分のサービス利用料金を乙の請求に基づき支払うものとする。

第8条(担当窓口)
本契約に関する連絡、通知および協議などの担当責任者および宛先は、契約要綱記載の通りとし、担当責任者に変更が生じた場合には速やかに、相手方に対して書面にて通知するものとする。

第9条(ユーザID、パスワードの取り扱い)
1. 甲は、本サービスを利用するために乙が発行するユーザIDおよびパスワードを適正に管理する責任を負うものとする。
2. 甲は、甲が正当に権限を与えたユーザに利用させる以外、ユーザIDおよびパスワードを第三者に利用させる、または、貸与、譲渡、名義変更、売買等してはならないものとする。
3. 甲は、ユーザIDの使用および管理について一切の責任を負うものとし、乙は、第三者によるユーザIDの使用等について一切の責任を負わないものとする。


第10条(知的財産権の保護)
1. 乙からもしくは第三者を通じて入手した本サービス、資料、派生物および本サービスの情報(以下「乙提供情報」という)に対する権原および権利ならびにそれらに関するすべての特許権、著作権、営業秘密およびその他のすべての知的財産権は、乙および原権利者だけに帰属するものとし、甲は乙および原権利者が保有するこれらの権利等を侵害する行為を行ってはならない。なお、本契約の中で甲に対して明確に付与されていない権利は乙に留保される。
2. 甲は、本サービスおよび乙提供情報につき、次の各号に定める行為及びこれらに類する行為を含め、乙および原権利者の知的財産権を侵害する行為またはそのおそれのある行為は一切行わないものとし、かつ第三者にも当該行為をさせないものとする。
(ア) 本サービスを利用目的以外に使用すること
(イ) 複製、改変、編集、リバースエンジニアリング、逆コンパイルまたは逆アセンブル、解読、ソースコードの発見の試みをすること、または、貸与、貸借、再販、派生物の制作をすること
(ウ) 営利目的の有無を問わず、甲のWebサイト等に掲載・転用し、又は第三者に配布・送信・貸与・譲渡・担保設定等を行うこと
(エ) 乙の著作権表示を削除または変更することおよび乙の商標を乙の書面承諾なく使用すること
3. 甲が前項各号のいずれかに該当した場合、甲は、乙の指示に則り、遅滞なく侵害排除措置をとるとともに乙が被った損害を賠償するものとする。

第11条(甲の義務)
1. 甲は、契約要綱記載の本サービス開始日までに、サービス仕様書の定めに従い、甲の設備の準備および環境設定を行うこととする。なお、これに要する費用は、甲の負担とする。
2. 本サービスの全部または一部が停止し、乙がその回復のために甲に協力を求めた場合、甲は、速やかにこれに応ずるものとする。
3. 甲が本サービスの提供を受けるために要する電気料金、通信回線に係る料金その他の費用は、甲の負担とする。
4. 甲は、本契約に基づく権利の全部もしくは一部を第三者に譲渡し、担保に供しもしくはその他の処分をし、または債務の全部もしくは一部を第三者に履行させてはならないものとする。

第12条(秘密情報の取扱い)
1. 甲および乙は、相手方の書面による事前の承諾なしに、本契約に関連して知り得た相手方の情報(以下「機密情報」という)につき、第三者に開示または漏洩してはならないものとする。ただし、乙が本サービスの全部または一部を第三者に委託する場合、本サービス提供上必要な範囲において、乙は乙の指定する当該第三者(以下「ビジネスパートナー」という)に対して甲の機密情報の開示を可能とする。
2. 甲および乙は、善良なる管理者の注意をもって機密情報を厳重に管理するとともに、機密情報を使用する従業員、ビジネスパートナーならびに相手方から承諾を得て機密情報を開示した第三者に対して、本項に定める機密保持義務を遵守させるものとする。なお、甲および乙は、ビジネスパートナーまたは相手方から承諾を得て行う第三者への機密情報の開示について、自己の責任と管理のもとに行うものとする。
3. 甲および乙は、次の各号のいずれかに該当する情報については、機密情報とみなさないものとする。
(ア)相手方から開示を受けた時、開示を受けたが既に所有していた情報
(イ)相手方から開示を受けた時、既に公知であった情報、もしくはその後開示を受けた当事者の責に帰さない事由
により公知となった情報
(ウ)相手方から開示を受けた時、開示を受けた当事者が合法的に第三者から取得した情報
(エ)法令の定め、または裁判所の命令に基づき開示を要請された情報
4. 甲および乙は、本契約の履行に伴い取り扱う個人情報を、本契約期間のみならず、本契約終了後においても、第三者に開示または漏洩してはならないものとする。ただし、当該個人情報主体の承諾を得た場合、または法令に定める場合を除くものとする。

第13条(サポートサービス)
1. 乙は、甲に対し、乙の定めるサービス仕様書の範囲内において本サービスに関するサポートサービスを有償で実施するものとする。なお、乙はサポートサービスの中止の決定、当該サービスの範囲の変更等をいつでも任意に行えるものとする。
2. 前項の乙が定める範囲以外の保守サポートを甲が希望する場合で、乙がこれを認めた場合は、甲は乙が別途定める条件に従い、協議により所定の料金を支払うことで、当該サポートサービスの提供を受けることができる。

第14条(本サービスの停止)
1. 乙は、次の各号のいずれかに該当する場合、事前に甲に通知することにより、本サービスの全部または一部の提供を停止することができるものとする。ただし、緊急事態が発生した場合はこの限りではなく、乙は事後にその旨甲に報告するものとする。
(ア) 本サービスに関わる電気設備・通信設備・その他の設備等(以下「サービス提供設備」という)の保守管理または工事等の維持管理、サービス向上等による機器の変更等、本サービスを安定的に提供する上でやむを得ない場合(計画的な保守作業を含む)
(イ) サービス提供設備の貸与・保守等を行う事業者が事業を停止する等、乙にて回避できない事由により、本サービスの全部又は一部を提供できなくなった場合
(ウ)サービス提供設備に障害等が発生し、本サービスを提供することが困難になった場合
(エ)乙が契約している電力会社や通信事業者等から電力供給等の安定的なサービスの提供を受けることができなくなり、
甲に対し安定的に本サービスを提供することが困難となった場合
(オ)前各号に掲げる事項のほか、乙が停止する必要があると判断した場合
2. 天災、地変その他の非常事態が発生し、または発生するおそれがあるときは、災害の予防もしくは救援、交通もしくは電力の供給の確保または秩序の維持に必要な事項を内容とする通信、または公共の利益のため緊急に行うことを要する通信を優先的に取り扱うため、乙が本サービスの提供を制限、もしくは停止する措置を取ることがあることを甲は了承するものとする。
3. 乙は、甲が次の各号のいずれかに該当する場合、事前の甲への書面通知により、本サービスの全部を停止することができるものとする。
(ア) サービス利用料金を支払期日を超えても支払わない場合
(イ) 本サービス利用申し込みをするにあたり、虚偽の記載をしていたことが判明した場合
4. 乙は、甲が第3条第6項各号に該当する場合、事前の甲への書面通知なく、本サービスの全部を停止することができるものとする。

第15条(補償)
1. 甲は、甲(甲が法人の場合は、本サービスを利用する個人を含む。以下、本条において同義。)による本サービスの購入、使用、その他の行為に関連または起因して、乙が第三者から請求、クレームを受け、あるいは訴訟を提起(以下「本件請求」という)され、または本件請求を受ける恐れがある場合、甲は、甲の費用および責任において解決し、かつ乙ならびにこれらの取締役、執行役員、従業員および代理人を防御・弁護しかつ責任を免除するとともに、乙が被った損害を補償するものとする。なお、本件請求のうち、本サービスが第三者の日本における特許権、著作権、営業秘密または商標権等、知的財産権の侵害に起因する場合、乙は次の各号の全ての要件をみたす場合に限り、乙は甲に生じた損害を第4条第2項および第3項に従い賠償するものとする。
(ア) 甲が申し立てを受けた日から5営業日以内に、乙に対して申し立ての内容を通知すること
(イ) 甲が、第三者との交渉または訴訟の遂行に関し、乙に実質的な参加の機会および決定の権限を与えるとともに必要な援助をすること
(ウ) 甲が、乙が必要とする援助をおこない合理的な範囲において協力すること
(エ) 乙の責めに帰すべき事由があること
2. 前項に定める乙の責任は、次の場合には適用されないものとする。
(ア) 甲が本契約に違反して本サービスを使用していた場合
(イ) 乙の事前の書面による同意を得ることなく、本サービスが甲、ユーザまたは第三者により変更された場合
(ウ) 乙の事前承諾を得ず、本件請求に対して対応した場合
3. 本条の定めは、本サービスに関して乙が甲に対して負う責任の全てを規定したものであり、乙はその他のいかなる責任をも負わないものとする。

第16条(契約解除および期限の利益喪失)
1. 甲が次の各号に定める事項のいずれかに該当する場合は、甲は、当然に乙に対する全債務(支払債務を含む)の期限の利益を喪失し、乙は、何らの催告を要しないで本契約の全部または一部を解除することができ、または解除しないで一時に債務残額全部の履行を求め、その完済までの間、本サービスを停止することができるものとする。
(ア) 仮差押え、差押え、競売の申請、または破産、特別清算、再生手続開始、会社更生手続開始の申立があった場合、もしくは租税公課を滞納して強制執行、保全差押えを受けた場合
(イ) 営業を休止または廃止した場合
(ウ) 支払を停止した場合、または手形交換所の取引停止処分等を受けた場合
(エ) 解散の決議を行なった場合
(オ) 本契約に違反し、あるいは債務不履行が発生し、一定の是正期間を経てもなお是正されない場合
2. 乙は、前項に基づき本契約を解除した場合、これにより被った損害の賠償を甲に請求することができるものとする。
3. 本契約に基づく乙の本サービスの停止期間が30日を超えた場合、乙は本契約を解除できるものとする。なお、本サービスを停止した場合であっても、乙は甲に対しサービス利用料金の減額または返却をしないこととする。

第17条(本サービスの廃止)
1. 乙は、本サービスを廃止する場合、廃止する6か月前に甲に対して、通知を行う。通知内容の発信によりその効力が生ずるものとし、通知が甲に未達または甲が未確認でもその効力に影響がないものとする。
2. 乙が予期し得ない事由または法令、天災などのやむを得ない事由で、本サービスの廃止をする場合において相当の猶予期間をもった事前通知が不能な場合、乙はすみやかに甲に対して通知するものとする。
3. 前二項に基づき本サービスが全部廃止された場合、当該廃止の日に本契約は解約されるものとする。

第18条(反社会的勢力の排除)
1. 甲は、次の各号の事項を表明し、保証するものとする。なお、甲は、次の各号のいずれかに違反することを発見した場合、直ちに乙へその事実を報告するものとする。
(ア)自らが「暴力団員による不当な行為の防止等に関する法律」に定義する暴力団およびその関係団体その他の反社会的団体または勢力(以下「反社会的勢力」という)でないこと
(イ)自らが反社会的勢力でなかったこと
(ウ)反社会的勢力を利用しないこと、およびこれに準ずる行為を行わないこと
(エ)反社会的勢力に資金提供を行わないこと、およびこれに準ずる行為を行わないこと
(オ)反社会的勢力を名乗るなどして乙の名誉・信用を毀損しもしくは業務の妨害を行い、または不当要求行為をなさないこと、およびこれらに準ずる行為を行わないこと
(カ)自らまたはユーザが反社会的勢力の構成員でないこと
2.  乙は、甲が前項に違反した場合、甲に対し何らの催告を要せずして、直ちに甲乙間で締結した一切の各契約等の全部または一部を解約することができる。
3. 前項に基づき、甲乙間で締結した各契約等が解約された場合、甲は、当該契約に関する一切の期限の利益を失い、直ちに債務を弁済するものとする。

第19条(契約期間)
1. 月額利用の本契約の有効期間は、契約要綱記載のサービス開始日から1ヵ月間とする。ただし、契約期間満了の30日前までに甲または乙から書面による契約終了の申し入れがない場合は、自動的に1ヶ月単位で自動的に延長されるものとし、以後も同様とする。
2. 年額利用の本契約の有効期間は、契約要綱記載のサービス開始日から1年とする。ただし、契約期間満了の30日前までに甲または乙から書面による契約終了の申し入れがない場合は、自動的に1年単位で自動的に延長されるものとし、以後も同様とする。
3. 乙は、解除、解約または期間満了により本契約が終了した場合、本契約終了の日から30日経過後、甲データをサーバ等から消去することができるものとする。なお、乙は本条に基づくデータ等の消去により生じた損害に関して、一切の責任を負わないものとする。
4. 本契約が解除、解約、期間満了により終了した場合であっても、第4条、第5条、第6条、第7条、第9条第3項、第10条、第12条、第15条、第16条、第18条第3項、本条、第24条ならびに第25条は、なお有効に存続するものとする。

第20条(完全合意)
本契約は、本サービスおよび本契約に関する甲乙間の完全な合意を取り決めたものであり、甲乙間の従前の全ての合意に優先する。

第21条(分離可能性)
本契約に定めるいずれかの規定が無効、違法または法的強制力を有しないとの判断が下された場合、かかる規定に有効性かつ合法性を回復させ、当該規定の当初の意図との整合性を維持させるために、合理的に必要な範囲で解釈または変更を行なうものとする。かかる解釈または変更が不可能な場合は、本契約から分離するものとする。本契約に定めるその他の規定および条項は引き続き効力を有するものとする。

第22条(権利不放棄)
乙または甲が、本契約に定めるいずれかの条項における権利を行使しなかった場合でも、当該当事者がかかる条項またはその他の条項において有する権利を放棄したことにはならないものとする。

第23条(輸出入に関する法規の遵守)
甲は本サービス、乙の情報、資料、データ、その他の本契約に関連する技術情報の輸出に関連して適用される本邦、米国その他関係国すべての法規等を遵守し、乙の事前の書面による承諾を得ることは勿論、必要に応じて、日本国政府の輸出許可及び関係国政府の再輸出許可を取得することに同意する。甲は甲による輸出に関して乙が一切、何らの責任を負わないことに同意する。

第24条(準拠法-法廷地)
本契約は日本国法に準拠するものとする。本契約の履行に関して生じた紛争については、乙の本店所在地を管轄する裁判所を第一審の専属的合意管轄裁判所とする。なお、裁判で使用される言語は日本語とする。

第25条(協議)
本契約に定めのない事項その他本契約に関して生じた疑義については、甲乙誠意をもって協議し決定する。

第26条(特約)
a. CELFに組み込まれているSCSKの製品であるCurl製品に関するライセンス規約は本契約の別紙にて規定する。
b. CELFに含まれる第三者ソフトウェア等並びに適用されるライセンス規約については本契約の別紙にて提示するものとする。

2.ライセンス規約

(1)Curl製品
本規約は、CELF製品に含まれるCurl言語、Curl RTE、Curl Pro/Deployment License、Curl Deployment License(無償版)、Caede Pro/Deployment License、Caede Pro/Deployment License(無償版)、Curl Pro/IDE、Curl IDE(無償版)、Curl Development tool for Eclipse、Caede SDK(無償)、Caede Development Tools(以下合わせて「Curl製品」という)に適用される。

第1条 (定義)
本契約で使用する場合、
a. 「アプリケーション」とは、Curl言語等で書かれ、あるいはRTEによって処理される個々のプログラム、ファイル、スクリプト、画像、グラフィックス、ビデオ、音声、テキスト、データまたはその他の物もしくは情報で、当該処理の過程で顧客がプラットフォーム上に実装を希望することを明示したものをいう。
b. 「カールの情報」とは、SCSKが提供した口頭、書面または機械可読式のすべての情報をいう。
c. 「派生物」とは、本製品の一部もしくは全部に基づき、または本製品の一部もしくは全部を組み込んだ著作物をいい、 SCSK の許可を得ずに使用した場合に本製品に対する SCSK の知的財産権侵害に相当するような機械的または電子的な複製物、翻訳物、改造物、変更物、媒体の変更その他形式を含む。本製品を使用して作成したアプリケーションは派生物ではない。
d. 「ライセンス・キー」とは、顧客がプラットフォームにアプリケーションを実装できるように SCSK が生成し、提供したキーをいう。
e. 「資料」とは、研修、トレーニング・コース、コンサルティング、その他のサービスに関連してSCSKが顧客に提供したすべての参考資料、コース資料、説明用ソフトウェア、ステューデント・ガイド、研修資料およびその他の資料をいう。
f. 「プラットフォーム」とは、ライセンス・キー登録の過程で顧客が指定した、アプリケーションの実装を希望する特定のプラットフォームをいう。プラットフォームは、顧客または顧客のカスタマーが管理、運営および/または所有するイントラネットあるいはエクストラネットの場合もあれば、インターネットのサイトに一般的にアクセスできるプラットフォームである場合もある。
g. 「本製品」とは、Curl製品ならびにSCSKが開発または所有、販売権を持ち、SCSKがライセンスを許諾し、または本契約の締結日の時点でCurl製品もしくは技術に含まれるその他のソフトウェアまたは知的財産を含む。
h. 「RTE」とは、エンドユーザがプラットフォーム上でアプリケーションを使用するために必要なCurl RTEと称するランタイム環境をいう。
i. 「IDE」とは、Curlアプリケーションを開発するために必要な開発環境をいう。また、Curl Development tool for Eclipseと称する「CDE」は、Eclipseコードを含む開発環境をいう。
j. 「Caede SDK(無償)」とはモバイルアプリケーションを開発するためのフレームワーク製品であり、必要な開発環境をいう。Caede SDKにはオープンソースソフトウェアであるJQuery 、jQuery、jQuery Mobile、jQuery Mobile-DateBox、jQuery UI、iScroll、RequireJS、r.js、jQuery UI Touch Punch、Spongy Castle、OpenSSL、SQLCipherおよびSocket.io を含むものとする。「Caede Development Tools」は「Caede SDK」を使用する高機能版の開発環境であり「CDE」に含むものとする。
k. 「ソースコード」とは、人間可読式コードをいう。
l. 「オブジェクトコード」とは、コンピュータに理解できる言語で記述されたプログラムをいう。
m. 「ライセンス料」とは、初期使用料及び年間使用料から構成される。

第2条 (限定的ライセンス)
a. 本契約に定める条件に基づいて、SCSKは、日本国内において顧客が自らの使途のために本製品をインストールして使用する、譲渡不能かつライセンス期間中に有効な(ただし、第8条に定める場合を除く)非独占的ライセンスを顧客に許諾する。ただし、本製品の内有償にてライセンスされるものについては別途ライセンス料、ライセンス条件、ライセンス期間を規定する。評価版ライセンスのライセンス期間はダウンロードから60日間とする。
b. 顧客はCurl Deployment License(無償版)およびCaede Pro/Deployment License(無償版)、Curl IDE(無償版)、Caede SDK(無償版)を商用に利用してはならない。ここで商用とは、本製品を法人内にて業務遂行を目的として使用する行為、法人が個人や他の法人を相手に直接、間接とを問わず収益の追及を目的として本製品を使用する行為、個人が他人や法人に対し直接、間接とを問わず収益の追及を目的として本製品を使用する行為等を指す。但し、第三者が自由にアクセス可能なインターネット環境にて公開されるアプリケーションの開発の為にCurl Deployment License(無償版)および/またはCurl IDE(無償版)を使用する場合には、課金ベースのアプリケーション及びHTTPS等のセキュリティ接続プロトコルを使用するアプリケーションを除き、この制限を受けないものとする。
c. 顧客はプラットフォーム上にアプリケーションを実装して、プラットフォームの最終使用者(“エンドユーザー”)がアプリケーションを使用できるようにすることができる。本製品の一部がソースコード形式で供給された場合、SCSKは本製品のソースコードおよびオブジェクトコードおよび/またはソースコード形式の派生物のコピーの使用、変更、改良、更新、コンパイル、および配付を許諾する。ただし、(a) 顧客は上記のソースコードまたはその派生物に、SCSKの所有権に関するすべての文言を明示、挿入すること、(b) 顧客は上記のソースコードまたはその派生物に関するSCSKの保証およびそれに順ずる記述を排除または削除すること、および(c) 顧客は、変更したソースコードには、顧客によってソースコードが変更された旨の告知を明示、挿入すること、を条件とする。
d. 顧客は、ライセンス・キーまたはRTEに対して、本契約に定めるアプリケーションの正規使用権利を変えるようなハッキングあるいは不正な変更を加えてはならない。顧客は本製品の逆コンパイル、逆アセンブルまたは逆行分析を試みてはならない。
e. 顧客は、バックアップ用として合理的な数量の本製品のコピーを作成することができる。顧客は資料をコピーすることはできない。本製品、派生物およびカールの情報のコピーにはすべて権利者であるSCSKに権利が帰属する旨の文言を表示しなければならない。
f. 顧客は、本契約を顧客以外の個人または法人に譲渡してはならない。
g. 本契約は、技術サポート、電話サポートまたは本製品に関するパッチ、アップデート版、アップグレード版、変更版もしくは改良版を受け取る権利を顧客に付与するものではない。ただし、顧客は第6条に定める条件により、メンテナンス・サービスを受けることができる。

第3条 ( 権利の帰属 )
SCSKからもしくは第三者を通じて入手した本製品、資料、派生物およびカールの情報に対する権原および権利ならびにそれらに関するすべての特許権、著作権、営業秘密およびその他のすべての知的財産権は、SCSKだけに帰属するものとし、顧客は上記の権原および権利と相反する行為を行ってはならない。本製品は日本その他の関係法および国際条約条項によって保護される。なお、本契約の中で明確に付与されていない権利はSCSKが留保する。

第4条 (ライセンス料)

第5条 (守秘)
 顧客は、カールの情報が許可なく使用され、または開示されないように合理的な基準以上の注意を払うものとする。顧客は、SCSKが定めた守秘義務に第三者が実際に違反し、または違反する恐れがあることに気づいた場合、SCSKに通知するとともに、SCSKの権利の行使に協力するものとする。

第6条 (サポートサービス)

第7条 (その他の制限)
顧客は、事前の書面によるSCSKの承諾を得ることなく、手段または形式を問わず自ら、あるいは、第三者に対して本製品の賃貸借、ライセンスまたはサブライセンスの許諾、リース、配信または配付を実施、あるいは、許可してはならない。

第8条 (契約の解除)
(明示的に削除)

第9条 (限定的保証)
SCSKは、本製品、アプリケーション、派生物、資料およびカールの情報に関して、商品性、特定目的適合性、権原、侵害の否定に関する黙示の保証を含めて、明示または黙示にかかわらず、いかなる保証も行なわない。SCSKは、本製品の使用に際して中断またはエラーが発生しないことを保証するものではない。

第10条 (責任制限)
a. SCSKは、顧客による本製品の使用または、本製品もしくは本製品に関するサービスの製造、供給、供給の不履行もしくは遅延に起因する、保証、契約、不法行為、厳格責任またはその他の法理論に基づく特別損害、付随的損害、派生的損害、懲罰的損害もしくはその他の間接損害、または逸失利益、データの喪失もしくは利用の喪失に関する損害に関して、たとえかかる損害が発生する可能性を通知され、または認識していたとしても、一切責任を負わないものとする。SCSKの顧客に対する責任はいかなる場合も顧客がSCSKに支払った本製品の価格を超えないものとする。SCSKは、顧客または第三者によるアプリケーションの使用に起因する債務に関する責任を負わないものとする。顧客は、第10条および第12条に定める規定はリスクを公平に配分したものであり、かかるリスクの配分は本契約に定める条件に基づいて付与された権利に対して顧客が支払う価格に反映されていることを認めるものとする。
b. 本製品の使用における、第三者が権利を有するソフトウェア等(フリーソフトウェア及びオープンソースソフトウェアを含む)(以下「第三者ソフトウェア等」という)の顧客による利用について、SCSKは一切の責任を負わないものとし、万一、顧客による第三者ソフトウェア等の利用により、SCSKに何らかの申し立てがあり、もしくは損害が生じた場合、顧客はSCSKを防御し、また、その損害を賠償するものとする。オープンソースソフトウェアが含まれている場合、顧客によるこれらのソフトウェアの使用には、当該ソフトウェアに付随するライセンス条項が適用されるものとする。

第11条(エクリプスコード)
Curl製品はエクリプス財団から提供されるエクリプスコード(以下「エクリプスコード」という)を含む場合があるものとする。SCSKは、エクリプスコードおよびエクリプスコードの二次的著作物の全てに関し、所有権および権利不侵害の保証または条件、並びに市場性および特定目的適合性の黙示保証または条件の全てを否認し、逸失利益等の直接、間接、特別、付随的および結果的損害を含め、損害賠償責任を否認し、また、SCSKがエクリプスコードをライセンスする為の、エクリプスオープンライセンスと異なる本ライセンス契約の条項は、SCSKから固有に提示される条項であることを表明する。顧客はCurl製品に含まれるエクリプスコードのソースコードをSCSKのウェブサイト上のダウンロードページより取得できるものとする。SCSKは、SCSKからの保証もしくは保守等を付与することなく、現状のままでエクリプスコードを提供するものとする。

第12条 (補償)
顧客は、顧客または顧客のカスタマーによるアプリケーションの使用、実装、送信および/または配付に関連または起因して、SCSKを相手取って提起され、または提起される恐れのあるすべての請求、訴訟および訴訟手続について、日本における本製品の第三者の特許権、著作権、営業秘密または商標権の侵害または違法使用に対する請求(以下「本件請求」という)を除き、SCSKならびにこれらの取締役、執行役員、従業員および代理人を補償し、弁護し、かつ責任を免除するものとする。
なお、本件請求に関するSCSKの対応は、次の各号の全ての要件をみたす場合に限られるものとする。
1) 顧客が申し立てを受けた日から5営業日以内に、SCSKに対して申し立ての内容を通知するものとする。
2)顧客は、第三者との交渉または訴訟の遂行に関し、SCSKに実質的な参加の機会および決定の権限を与えるとともに必要な援助をするものとする。

第13条 (ハイリスク適用)
本製品は、耐故障性のあるものではなく、またフェールセーフ実行を必要とする危険な環境におけるオンライン制御装置として設計・製造されてはおらず、斯様なオンライン制御装置として使用または転売されることが予定されているわけでもない。フェールセーフ実行を必要とする危険な環境とは、例えば、原子力施設の運営、航空機のナビゲーションシステムもしくは通信システムへの適用、航空管制システムへの適用、直接または間接に限らず生命維持装置への適用、または武器システムへの適用(これらを「ハイリスク適用」という)であり、これらの環境において本製品が故障すると、直接、人の死亡もしくは負傷または物理的なもしくは環境上の甚大な損害が発生する可能性があるものをいう。従って、SCSKは明確に、ハイリスク適用のための適合性の保証を明示的または黙示的に否認するものとする。また顧客は、SCSKが、斯様なハイリスク適用における本製品の使用に起因するいかなる請求または損害についても責任を負わないことに同意しなければならないものとする。

第14条 (完全合意)
本契約は、本契約に関するSCSK、顧客間の完全な合意を取り決めたものである。

第15条 (分離可能性)
本契約に定めるいずれかの規定が無効、違法または法的強制力を有しないとの判断が下された場合、かかる規定に有効性かつ合法性を回復させ、当該規定の当初の意図との整合性を維持させるために、合理的に必要な範囲で解釈または変更を行なうものとする。かかる解釈または変更が不可能な場合は、本契約から分離するものとする。本契約に定めるその他の規定および条項は引き続き効力を有するものとする。

第16条 (権利不放棄)
本契約に定めるいずれかの条項における権利を行使しなかった場合でも、かかる条項またはその他の条項を放棄したことにはならないものとする。

第17条 (輸出入に関する法規の遵守)
 顧客は本製品、カールの情報、資料、その他の本契約に関連する技術情報の輸出に関連して適用される本邦及び米国のすべての法規等を遵守し、輸出をする場合は顧客側でその手続きを行うことに同意する。顧客は顧客による輸出に関してSCSKが一切、何らの責任を負わないことに同意する。

第18条 (準拠法-法廷地)
 本契約は日本国法に準拠するものとする。本契約の履行に関して生じた紛争については、SCSKの本店所在地を管轄する裁判所を第一審の専属裁判所とする。
Curl言語、Curl RTE、Curl Pro/Deployment License、Curl Deployment License、Caede Pro/Deployment License、Curl Pro/IDE、Curl IDE、Caede SDK、Caede Development ToolsはSCSKの商標である。

1.10.1. "Patent Claims" means any patent claim(s), now owned or hereafter acquired, including without limitation, method, process, and apparatus claims, in any patent Licensable by grantor.
